1. Definitions
“Silver Arch” refers to the service provider offering home management, cleaning, and maintenance services. “Client” refers to the individual or entity engaging Silver Arch’s services. “Services” refers to all membership and managed home services provided by Silver Arch.

2. Membership Services
2.1 Membership packages (including “Home Manager” and “Home Manager Plus”) are provided on a 12-month minimum term unless otherwise agreed.
2.2 Membership includes coordination, oversight, and management of property-related matters as outlined in the selected package.
2.3 Contractor works and third-party services arranged on behalf of the Client will be charged separately from membership fees and invoiced on an as instructed / as incurred basis.
2.4 Silver Arch reserves the right to amend membership features with reasonable notice.

3. Managed Home Services
3.1 Cleaning, maintenance, and external services are available to both members and non-members, subject to availability.
3.2 All services are delivered by employed staff or vetted contractors managed by Silver Arch.
3.3 Service frequency, scope, and pricing will be agreed in advance with the Client.
4. Invoicing & Payment Terms
4.1 All membership fees and service charges will be invoiced monthly in arrears at the end of each calendar month.
4.2 Payment is due within 7 days from the invoice date.
4.3 Silver Arch reserves the right to suspend services where payment is overdue.
4.4 Interest may be charged on overdue amounts at a rate of 8% above the Bank of England base rate, in accordance with applicable legislation.
4.5 Silver Arch reserves the right to recover any reasonable costs incurred in collecting overdue payments.
4.6 The Client is responsible for ensuring timely payment via the agreed payment method.
All invoices must be paid to the following account via bank transfer. Please ensure to state the invoice number on all transfers.

5. Access To Property
5.1 The Client must ensure safe and reasonable access to the property for all scheduled services.
5.2 For properties that are not the Client’s primary residence, access must be provided via a secure key safe or other pre-agreed method.
5.3 The Client is responsible for ensuring access details are accurate and functional at all times.
5.4 Silver Arch accepts no liability for loss or damage arising from the use of key safes or access arrangements provided by the Client.
5.5 If access is not available at the agreed time, Silver Arch reserves the right to charge for the full cost of the scheduled visit.
6. Client Responsibility
6.1 The Client must provide accurate information regarding the property and any specific requirements.
6.2 The Client must notify Silver Arch of any hazards, risks, or special conditions that may affect service delivery.
6.3 The Client is responsible for ensuring utilities (water, electricity, etc.) are available where required.
7. Cancelling and Re-Scheduling
7.1 A minimum of 24 hours’ notice is required to cancel or reschedule a service appointment.
7.2 Cancellations made within 24 hours of the scheduled service will incur a charge of 50% of the booked service value.
7.3 Failure to provide access at the scheduled time may be treated as a late cancellation and charged accordingly.
7.4 Silver Arch will make reasonable efforts to accommodate rescheduling requests.

8. Emergency and Out-Of-Hours
8.1 Emergency and out-of-hours services are available to “Home Manager Plus” members as part of their package.
8.2 Silver Arch will make reasonable efforts to respond promptly; however, response times cannot be guaranteed.
8.3 Any third-party contractor costs associated with emergency works will be chargeable to the Client unless otherwise agreed.

9. Liability
9.1 Silver Arch will carry out all services with reasonable care and skill.
9.2 Silver Arch maintains appropriate insurance coverage for its services.
9.3 Silver Arch is not liable for:
- Pre-existing damage or defects
- Issues arising from third-party contractors not arranged by Silver Arch
- Delays caused by factors outside its control
9.4 Liability is limited to the value of the service provided, except in cases of negligence causing injury or where liability cannot be excluded by law.

10. Contractors & Third Parties
10.1 Where third-party contractors are engaged, Silver Arch acts as a coordinator unless otherwise agreed.
10.2 While contractors are vetted, Silver Arch cannot guarantee their workmanship and is not responsible for their independent work unless directly managed under its service.
10.3 Any contracts for works may be between the Client and the contractor unless explicitly stated otherwise.
10.4 Where we arrange maintenance, repairs, or other works through third-party contractors (including but not limited to electricians, plumbers, and other specialist trades), we reserve the right to charge a commission of between 10% and 15% plus vat on the contractor’s invoice.
This commission covers the administration, sourcing of contractors, obtaining quotations, arranging access, supervision, and overall project management of the works. All such commission charges are retained by us and are in addition to the contractor’s costs. By instructing us to proceed with works, you agree to this commission structure.

11. Data Protection
11.1 Silver Arch will process Client data in accordance with applicable UK data protection laws, including the UK GDPR.
11.2 Client information will only be used for the purposes of delivering services and will not be shared with third parties except where necessary to fulfil those services.
12. Termination
12.1 Either party may terminate membership with written notice in accordance with the agreed term.
12.2 Early termination within a fixed-term agreement may be subject to the remaining balance of the term or an agreed cancellation fee.
12.3 Silver Arch reserves the right to terminate services in cases of non-payment or breach of these terms.

13. Changes to Terms
13.1 Silver Arch reserves the right to update these Terms & Conditions at any time.
13.2 Clients will be notified of any material changes.
14. Governing Law
Governing Law These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
